1. Agreement to Terms

By accessing or using the OpenForm website, open-source software, and related services (collectively, the "Services") provided by OpenForm ("we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use our Services.

These Terms constitute a legally binding agreement between you and OpenForm. Please read them carefully before using our Services.

2. Description of Services

OpenForm is a "Documents as Code" platform. Our Services include, but are not limited to:

  • The OpenForm website, including documentation and resources located at open-form.dev
  • Open-source software libraries distributed via NPM
  • JSON schema files hosted on our servers for document validation
  • Source code and documentation hosted on GitHub
  • Email newsletter communications
  • Contact and inquiry submission forms

We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice.

3. Use of Open-Source Software

3.1 License Grant

Our open-source libraries are made available under the MIT License. Subject to the terms of the MIT License, you are permitted to use, copy, modify, merge, publish, distribute, sublicense, and sell copies of the software.

3.2 Disclaimer of Warranty

The open-source software is provided "as is" and "as available" without warranty of any kind, express or implied. The full terms of the MIT License govern your use of the software.

3.3 Third-Party Platforms

When you obtain our software packages via NPM or other package managers, your use of such platforms is subject to their respective terms of service and policies. We are not responsible for the operation or policies of third-party platforms.

4. Use of JSON Schemas

Our JSON schemas are made available for document validation purposes. You may freely use these schemas in your applications and workflows. We reserve the right to update, version, or modify schemas at any time. It is your responsibility to ensure compatibility with any schema updates.

5. Acceptable Use

5.1 Permitted Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Conduct

You shall not, and shall not attempt to:

  • Access or use the Services for any unlawful purpose or in violation of any applicable laws or regulations
  • Gain unauthorized access to our systems, networks, or servers
  • Interfere with, disrupt, or impose an unreasonable burden on the Services or the networks connected thereto
  • Use any automated system, including robots, spiders, or scrapers, to access or extract content from the Services without our express written permission
  • Transmit any viruses, malware, or other malicious code
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Circumvent, disable, or otherwise interfere with any security-related features of the Services

5.3 Enforcement

We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates these provisions, including reporting such conduct to law enforcement authorities.

6. Intellectual Property Rights

6.1 OpenForm Property

Except for open-source components expressly licensed under the MIT License, all content, features, and functionality of the Services, including but not limited to text, graphics, logos, icons, images, and software, are the exclusive property of OpenForm and are protected by copyright, trademark, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes.

6.3 Restrictions

You shall not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any content from the Services, except as expressly permitted herein or as otherwise authorized in writing by OpenForm.

7. Newsletter Subscription

By subscribing to our newsletter, you consent to receive periodic electronic communications from us regarding product updates, announcements, and related information. You may unsubscribe at any time by following the unsubscribe instructions provided in each email communication.

8. Contact Form Submissions

When you submit information through our contact form, you represent and warrant that the information you provide is accurate and complete. We may use the email address you provide to respond to your inquiry. We reserve the right to retain records of such communications for our internal purposes.

The Services may contain links to third-party websites or services, including but not limited to GitHub and NPM. Such third-party services are not under our control, and we are not responsible for their content, privacy policies, or practices. Your use of third-party services is at your own risk and subject to the terms and conditions of those services.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OBTAINED THROUGH THE SERVICES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPENFORM, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED ONE HUNDRED DOLLARS ($100).

THE LIMITATIONS OF THIS SECTION SHALL APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER BASED ON WARRANTY, CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to defend, indemnify, and hold harmless OpenForm and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to attorneys' fees) arising from or relating to: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any rights of any third party.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising out of or relating to these Terms or the Services.

14. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other provision of these Terms. The remaining provisions shall continue in full force and effect.

15. Waiver

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by OpenForm.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and OpenForm regarding your use of the Services and supersede all prior and contemporaneous agreements, representations, and understandings between you and OpenForm.

17. Modifications to Terms

We reserve the right to modify these Terms at any time in our sole discretion. If we make material changes to these Terms, we will update the "Last Updated" date at the top of this page. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of such changes.
